Terms of Service

Welcome to LobbyScape, a product of Foundry Peak, LLC. These Terms of Service ("Terms") govern your access to and use of the LobbyScape website, platform, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

Please read these Terms carefully before using our Service.

1. Acceptance of Terms

By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

LobbyScape provides a legislative intelligence platform that enables users to:

  • Track and monitor legislative bills and activity
  • Receive alerts about bill status changes and hearings
  • Organize bills into watchlists for clients or issues
  • Generate reports and analytics on legislative activity
  • Collaborate with team members on government affairs work

The Service aggregates publicly available legislative information and presents it in an organized, actionable format.

3. Account Registration

To access certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that provide inaccurate information or violate these Terms.

4. Subscription and Payment

Subscription Plans

The Service is offered on a subscription basis. Subscription details, including features, are available upon request. We may modify pricing with 30 days' notice.

Payment Terms

  • Subscriptions are billed in advance on a monthly or annual basis
  • Payment is due at the start of each billing period
  • All fees are non-refundable except as required by law or as expressly stated
  • You authorize us to charge your payment method for recurring fees

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access until then.

Free Trials

We may offer free trials. At the end of a trial, your account will be charged unless you cancel before the trial ends.

5. Acceptable Use

You agree to use the Service only for lawful purposes. You may not:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws, regulations, or third-party rights
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Use automated means to access the Service without permission
  • Reverse engineer, decompile, or disassemble the Service
  • Resell, redistribute, or sublicense access to the Service
  • Use the Service to transmit malware or harmful code
  • Harass, abuse, or harm others through use of the Service
  • Misrepresent your identity or affiliation

6. Intellectual Property

Our Rights

The Service, including its original content, features, functionality, design, and underlying technology, is owned by Foundry Peak, LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

Your Content

You retain ownership of content you create within the Service (such as notes, client information, and custom watchlists). By using the Service, you grant us a limited license to store, process, and display your content solely to provide the Service.

Legislative Data

Legislative information we aggregate is derived from public sources. We do not claim ownership of underlying government data, but our organization, presentation, and analysis of such data is proprietary.

7. Data and Privacy

Your privacy is important to us. Our Privacy Policy describes how we collect, use, and protect your information. By using the Service, you agree to our Privacy Policy.

You are responsible for maintaining the confidentiality of client information you store in the Service and ensuring your use complies with applicable privacy and confidentiality obligations.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Emergency repairs or security updates
  • Factors beyond our reasonable control

We are not liable for any loss or damage resulting from Service unavailability.

9. Data Accuracy

We strive to provide accurate legislative information but cannot guarantee the accuracy, completeness, or timeliness of data. Legislative data is sourced from government websites that may contain errors or delays.

The Service is a monitoring tool, not a substitute for professional judgment. You should independently verify critical information before taking action based on data in the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • WARRANTIES OF TITLE AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF CONTENT

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOBBYSCAPE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • ANY DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE

OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Foundry Peak, LLC (operating as LobbyScape) and its officers, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your content or data stored in the Service

13. Termination

We may suspend or terminate your access to the Service at any time for:

  • Violation of these Terms
  • Non-payment of subscription fees
  • Conduct that we reasonably believe is harmful to us or other users
  • Legal or regulatory requirements

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive (including Sections 6, 10, 11, 12, and 14).

14. Governing Law and Disputes

These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Florida in accordance with the rules of the American Arbitration Association. You waive the right to participate in class actions.

Notwithstanding the above, either party may seek injunctive relief in court for intellectual property violations.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

If you disagree with changes, you may terminate your account before the changes take effect.

16. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Foundry Peak, LLC regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions shall continue in effect.
  • Waiver: Our failure to enforce any right or provision shall not constitute a waiver.
  • Assignment: You may not assign these Terms without our consent. We may assign these Terms without restriction.
  • Force Majeure: We are not liable for failures due to circumstances beyond our reasonable control.
